Constitution

Name: "THE HONG KONG ACADEMY OF NURSING PREPARATORY COMMITTEE (HKANPC)(香港護理專科學院籌備委員會)" hereinafter called "HKANPC".

1. The objects for which the HKANPC is established are:-
   1. To establish the Hong Kong Academy of Nursing.
   2. To make application or representation to the Government or other appropriate authorities on any question or matter relating to the establishment of the Hong Kong Academy of Nursing.
   3. To facilitate and encourage the free exchange of ideas relating to the establishment of Hong Kong Academy of Nursing.
   4. To establish and maintain close links with similar nature organization in other parts of the world.
   5. To apply to the Government Department, Government Authorities or other public bodies or to corporations, companies or persons for, and to accept grants of money, land, donations, gifts, subscriptions, contracts, rights, privileges, concessions and other assistance for promoting the objects of the HKANPC.
   6. To borrow or raise money for the purpose of the HKANPC on such terms and on such security (if any) as may be thought fit.
   7. To do all such other things which are incidental, or those of which the HKANPC may think conducive, to the attainment of the above objects.

   Executive Committee

2. The HKANPC shall have an Executive Committee consisting of one Chairperson, two Vice-Chairpersons, two Secretaries and two Treasurers.
   1. The affairs of the HKANPC shall be managed by the Executive Committee.
   2. The first Executive Committee shall consist of the following persons:
      • Chairperson: Susie LUM
      • Vice-chairperson: Frances Kam Yuet WONG, June Wing Mui LUI
      • Secretaries: Sally Wai-chi CHAN, Peggy WONG
      • Treasurers: Anders Chi Man YUEN, Winnie Siu Wah CHENG

   General Meetings

3. General Meetings shall be held from time to time as determined by the Executive Committee.
4. No business shall be transacted at any General Meeting unless a quorum of members is present at the time when the meeting proceeds to business. Half of the total membership of the HKANPC shall be a quorum.
5. The chairperson of the Executive Committee and in his/her absence, the vice-Chairperson shall preside as chairperson at every General Meeting of the HKANPC.
6. If there is no such chairperson, or vice-chairperson, or if at any meeting he/she is not present within 15 minutes after the time appointed for holding the meeting or is unwilling to act as chairperson, the members present shall choose a member to be chairperson.
7. At any General Meeting a resolution put to the vote of the meeting shall be decided on a show of hands.
8. In the case of any equality of votes, the chairperson of the meeting, at which the show of hands takes place, shall be entitled to a second or casting vote.
9. Every Member shall have 1 vote.

   Entrance Fee & Annual Subscription

10. Members of the HKANPC shall pay the entrance fees and annual subscription fees. The entrance fees and annual subscriptions payable by members of the HKANPC shall be decided by the HKANPC in meeting shall from time to time prescribe.

    Accounts

11. The Executive Committee shall cause proper books of account to be kept with respect to -
    1. all sums of money received and expended by the HKANPC and the matter in respect of which the receipt and expenditure takes place;
    2. all sales and purchases of goods by the HKANPC; and
    3. the assets and liabilities of the HKANPC.
12. A copy of every balance sheet together with a copy of the Executive Committee report and a copy of the auditors' report shall be presented to members annually.

    Audit

13. Auditors shall be appointed and audit HKANPC's account once a year.

    Resolution

14. The HKANPC shall be resolved at a time as approved by the members of HKANPC at General Meeting after the establishment of the Hong Kong Academy of Nursing under the Ordinance of the Hong Kong Special Administration Region Government. The disposal of assets of the HKANPC after its resolution shall be determined by members of HKANPC at General Meeting.
